Stock Transfer
We have undertaken a considerable number of large scale stock transfers for clients. This has included carrying out all title audit work and all work necessary to allow the grant of a security to lenders to procure private finance. We have in-depth experience of all issues that can arise including title discrepancies and factoring issues and are able to provide practical solutions to problems within a restricted time-scale.
· Stock Transfer process: We know the stock transfer process, the timescales, the consents and funding requirements and the sequence in which each aspect of the transfer must fall into place and can guide you through the process from start to finish. We can also provide practical advice on amalgamating or partnering with other organisations as required as a result of any stock transfer.
· Stock Transfer negotiations: We are familiar with the usual negotiations which take place over matters such as asset transfers, warranties and indemnities, continuing contracts including maintenance and factoring contracts, supporting people issues relating to housing support services and sheltered housing funding, and employment issues such as TUPE and pension rights. We are able to give you a practical analysis of each aspect so that you are well enough informed to make a business decision on the overall project.
· Second Stage Stock Transfer from Glasgow Housing Association (GHA): TC Young was advisor to the initial 7 local housing organisations involved in the pilot process and since the evolution of the gateway process has continued to advise more that 90% of all the local housing organisations on progress. TC Young is currently advising all the local housing organisations that have progressed to the point of submission of business plans to Glasgow Housing Association on all aspects of the transfer process.
We are currently involved in actions for breach of various Large Scale Voluntary Transfer contracts against the Scottish Ministers, formerly Scottish Homes.
