Stephen MacGregor has over 25 years legal experience in affordable housing. During this time he has developed a wide-ranging understanding of legal issues affecting the housing sector. Legal publications have recommended him as a “leading practitioner in his field” and he has been recognised as a “constitutional expert”.
Stephen was at the forefront of Registered Social Landlords (RSLs) transferring to charitable status; this involved advising clients on their tax and charitable law obligations and requirements. His integral understanding of the regulations ensured this was a seamless transition for clients. Alongside this, he provided guidance on the governance issues, group structures and associated subsidiaries.
Ensconced in housing law, he works closely with a number of organisations in developing policy and offering advice. This has involved being part of the review group on group structures which led to recent SHR guidance to the LSVT forum on LSVT contract review and discussions with Scottish Ministers, preparation of the initial documentation and guidance for Homestake for Scottish Ministers and appointment as a statutory enquirer of an RSL which faced difficulties.
Stephen was involved in the creation of the first joint working company in Castlemilk in the 1980s. Since then he was been involved in many different business models including a joint venture for three care RSLs regarding exploitation of intellectual property, advising on numerous transfers of engagement, advising a number of organisations on strategic alliances and participation in group structures and service provision documentation (preferred by SHR) for delivery of development services by one RSL to another.
Stephen has also acted for a number of leading banks and building societies on social housing lending, due to the volume of work now undertaken for borrowers however he no longer acts for the lenders. He has extensive experience in this area, having negotiated over £750 million of housing association funding from banks and building societies including syndicated loan agreements and securing trust deeds.
Stephen has been involved in more than 50 large scale voluntary transfers and was the lead adviser on the recently completed transfers from GHA and is currently involved in the next tranche of transers. This included the development of the model interim management agreement and re-modelled management agreement for provision of services by local housing organisations to GHA. He has a solid understanding of current issues, affecting both large and small organisations, including providing advice on all processes, preparation of all legal documentation, advice on staff and asset transfers, representing client interests and negotiating all aspects of the transfer on their behalf, assisting in the amalgamation or partnering with other organisations and transfer of support services.
